1. Who we are and what these terms cover
These terms of service govern your use of the website invoiceproforma.com and of the InvoiceProforma application available at app.invoiceproforma.com (together, the “Service”), published by [Company legal name], [legal form], registered at [registered address], company registration number [number] (the “Publisher”, “we”, “us”). By creating an account or using the Service you accept these terms. If you do not accept them, do not use the Service.
2. The Service
The Service allows you to create, store and export commercial documents used in international trade, including proforma invoices, commercial invoices and packing lists. It is a document generation tool. It does not classify goods for customs purposes on your behalf, does not verify the accuracy of the data you enter, does not file declarations with any authority and does not transmit documents to banks or customs administrations.
3. Accounts
- You must provide accurate registration information and keep it up to date.
- You are responsible for the confidentiality of your credentials and for all activity carried out through your account.
- Accounts are personal to your organisation and may not be shared with third parties outside it or resold.
- You must be at least 18 years old and, where you act for a company, authorised to bind it.
- Tell us without delay at contact@invoiceproforma.com if you believe your account has been accessed without authorisation.
4. Plans, pricing and payment
The Free plan permits three documents per calendar month at no charge. The Pro plan costs USD 7 per year and removes that limit, as described on the pricing page. Subscriptions renew automatically each year unless cancelled before the renewal date from your account settings. Payments are processed by a third-party payment provider; we do not store your full card details. Prices are stated exclusive of any taxes that may apply in your jurisdiction. We may change prices for future subscription periods with at least 30 days’ notice sent to the email address on your account; the change never affects a period already paid for.
5. Cancellation and refunds
You may cancel at any time. Cancellation takes effect at the end of the paid period, after which the account reverts to the Free plan and your existing documents remain accessible for download. Where consumer protection law in your country grants a statutory withdrawal right, that right applies and prevails over this clause. Outside those cases, paid periods already started are not refunded.
6. Your content
You retain all rights in the data you enter and the documents you generate. You grant us only the limited licence needed to host, process and display that data so that we can provide the Service to you. You are responsible for the lawfulness and accuracy of what you enter, including product descriptions, HS codes, values, origins and the identity of the parties.
7. Acceptable use
You may not use the Service to produce false, misleading or fraudulent documents, to under-declare or misdescribe goods, to facilitate money laundering, sanctions evasion or the export of prohibited items, to infringe third-party rights, or to attempt to gain unauthorised access to our systems. You may not scrape, resell, reverse engineer or attempt to circumvent the limits of your plan. We may suspend or terminate an account that breaches this clause, with immediate effect where the breach is serious.
8. No professional advice
The guides published on invoiceproforma.com — including those on HS codes, Incoterms 2020, letters of credit, export documentation and country import requirements — are general information for business readers. They are not customs, legal, tax, accounting or financial advice, they may not reflect the most recent changes in any jurisdiction, and they must not be relied on as the sole basis for a shipment, a declaration or a payment. Confirm your position with a licensed customs broker, the competent customs authority, your bank or a qualified adviser.
9. Availability
We aim to keep the Service available continuously but do not guarantee uninterrupted access. Maintenance, updates, third-party failures and events beyond our reasonable control may cause interruptions. We may modify or discontinue features; where a change materially reduces what a paid plan offers, we will give notice and, if you prefer, refund the unused portion of your subscription.
10. Liability
To the fullest extent permitted by law, we are not liable for indirect or consequential loss, including lost profit, lost business, demurrage, storage charges, customs penalties, duty reassessments, rejected letter-of-credit presentations or delays arising from the content of documents you produced with the Service. Our total liability for any claim is limited to the amount you paid us in the twelve months preceding the event giving rise to it. Nothing in these terms excludes liability that cannot lawfully be excluded, including liability for fraud or for death or personal injury caused by negligence.
11. Intellectual property
The Service, its software, design, text and guides are protected by intellectual property law and remain our property or that of our licensors. You may print or share our published guides for internal business use with attribution, but you may not republish them in bulk, present them as your own or use them to train automated systems without our written permission. “Incoterms” is a trademark of the International Chamber of Commerce; the Harmonized System is maintained by the World Customs Organization. We are not affiliated with, endorsed by or acting on behalf of either organisation.
12. Suspension and termination
You may close your account at any time. We may suspend or close an account for breach of these terms, non-payment, or where required by law. Except where the law requires otherwise, we will give you a reasonable opportunity to export your documents before deletion.
13. Changes to these terms
We may update these terms. Material changes will be announced by email or in the application at least 30 days before they take effect. Continuing to use the Service after that date means you accept the updated terms.
14. Governing law
These terms are governed by the law of [country of the Publisher], and the courts of [competent jurisdiction] have exclusive jurisdiction, without prejudice to any mandatory consumer protection rules of the country in which you are habitually resident.
